License Policy
Effective Date: March 27, 2024
1. Licensing of Assets
For each clip (referred to as an "asset") you purchase and download, Dropshot Stock grants the Licensee a nonexclusive, worldwide, perpetual right and license to utilize all or any part of the Asset in connection with the development of End Products for use by the Licensee in any and all media and formats now known or hereafter devised, subject solely to the Permitted Scope of Use. The ongoing usage rights are contingent upon the Licensee's compliance with all terms and conditions outlined in this document and Terms of Use.
2. Ownership Distinction
The acquisition of a license does not constitute ownership. When you purchase an asset, you are obtaining the right to use the asset, but not ownership of the asset itself. Consequently, the asset remains safeguarded by the copyrights and intellectual property rights of Dropshot Stock or its creator.
3. Distinction Between Purchaser and Licensee
It is important to distinguish between the Purchaser and the Licensee. In cases where the Purchaser is acquiring licensing rights to use the Asset on behalf of a Licensee, the Purchaser hereby represents and warrants that:
- The Purchaser is authorized to act as an agent on behalf of the Licensee and possesses full power and authority to legally bind the Licensee to the terms and conditions specified in this document and Term of Use.
- In the event that the Licensee subsequently disputes the authority or power granted to the Purchaser, the Purchaser shall be held liable for any failure of the Licensee to adhere to the stipulations of this Agreement.
4. Permitted Scope of Use
For Dropshot Stock Standard Licenses, the following permitted scope of work is applicable:
- Standard License : The asset can be used on YouTube, TikTok, Instagram, Facebook, Vimeo, Twitch, Online Advertisement, Websites, Educational materials, Personal Videos, Live Concerts, Web-Dramas, and Independent Movies.
- For companies with less than 100 employees, the asset can also be used in Games, Out-of-Home Advertising, Music Videos, Broadcasts, and TV Commercials.
For Dropshot Stock Extended Licenses, the following permitted scope of work is applicable:
- Extended License (Regardless of the company's size): The asset can be used in all media allowed for Standard License and additionally for TV series, OTT Series, and Commercial Films.
5. Usage Restrictions
Regardless of the license you acquire following usages are prohibited in any case:
- AI Model Training and Gen-AI usage
- Redistribution rights, except as integrated into End Products. This implies that the asset cannot be reproduced, distributed, resold, or used as a standalone product.
- Other restrictions include:
- Issuing, selling, reselling, distributing, transferring, renting, or leasing sublicenses for the use of Licensed Media to third parties, regardless of membership status.
- Using the clip as a standalone file in any manner.
- Engaging in actions that enable third parties to sell or download content on shared drives, services, software, or websites, with the intention of exchanging, transferring, or distributing the content.
- Engaging in actions that infringe upon the intellectual property rights, including copyrights and personal rights, of individuals or businesses depicted within the content.
- Creating derivative works based on the content without prior approval.
- Using the content as a trademark, logo, or service mark or integrating it into such trademarks, logos, or service marks.
- Creating or commercially selling products using images captured from the content or integrating the content into such products.
- Using personal content for purposes that violate public morals and common sensibilities or for purposes that undermine public morals and common sensibilities.
- Altering or modifying the content using technology, including artificial intelligence, to transform the content or composite the bodies and faces of individuals within the content with third-party photos or images.
- Using the content for over-advertising in the form of endorsements that guarantee the quality of specific products.
- Using the content to depict exploitation of minors.
- Using the content to depict violent acts or other illegal content similar to violence.
- Violating Dropshot Stock's Terms of Use regarding content usage methods and procedures or using the content in a manner unsuitable for the intended license purpose.
6. Watermarked Preview Clips
Users are permitted to download watermarked versions of the asset for personal preview purposes. Removal of such watermarks or using the watermarked version in any Projects or any other manner is strictly prohibited.
7. Licensing for Individual Seats
The name registered during the asset purchase represents the sole individual or entity entitled to use the asset under this License. While it is possible for the Purchaser to acquire the asset on behalf of others (as mentioned in section 3, where the Purchaser is distinct from the Licensee), it is essential to understand that one license corresponds to one seat. Consequently, if the asset is to be used for another end user's project, the asset must be repurchased or contact our support team to inquire about an extended license. The Licensee is the registered name upon asset purchase, regardless of account information.
8. License Duration
- For all single purchase products, your license is guaranteed in perpetuity.
- However, due to changes in legal conditions or other factors, Dropshot Stock reserves the right to discontinue licensing any clips at any time. In the event that Dropshot Stock is notified that any content may be subject to a third party's infringement claim for which Dropshot Stock may be held liable, Dropshot Stock may require the Licensee, at their own expense, to immediately cease using the content and delete or destroy any copies.
9. Additional Information
- Dropshot Stock is not responsible for the accuracy of Asset, including the Asset's description and any keywords provided by the Asset's creator.
- The Licensee is responsible for taking appropriate measures to blur, obscure, or remove any materials that require additional permissions or, alternatively, for obtaining such permissions. Specifically, but without limiting the general obligations outlined above, the LICENSEE is responsible for conducting clearance analysis on any business names, logos, trade dress, or other trademark-protectable elements depicted within the Licensed Media. Furthermore, the LICENSEE is responsible for identifying copyright-protected materials, including works of art and architectural works, depicted within the Licensed Media and for conducting clearance analysis on such materials.
